PragFlow Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you ("Customer" or "you") and PragFlow OÜ ("PragFlow", "we", "us", or "our").

By creating an account, signing up for a trial, or using any part of the PragFlow platform, you agree to these Terms. If you are signing up on behalf of a company or organization, you confirm that you have the authority to bind that entity to these Terms.

1. What PragFlow Is

PragFlow is a cloud-based platform designed to help industrial and operations teams manage inspections, corrective actions (CAPA), assets, registers, laboratory testing, personnel, QR codes, AI-powered tools, and more. The platform is highly configurable, which means you decide how to use it within your own organization.

You are responsible for configuring the platform appropriately and ensuring that its use complies with your internal policies and any applicable laws or regulations in your industry.

2. Your Data and Our Data

You own all the data you or your users submit to PragFlow ("Customer Data"). This includes inspection records, photos, lab results, personnel information, and anything else you upload or create inside your workspace.

We own the data we generate while running the service. This includes usage logs, system telemetry, performance metrics, and aggregated statistics ("Service Generated Data").

We may also create anonymized, de-identified datasets from your data for the purpose of improving our product, running benchmarks, conducting research, and training our own internal AI models. We own all rights to this de-identified data and may use it indefinitely. We will never attempt to re-identify this data.

Important: We do not sell any data to anyone, ever. Your data is only seen by our internal team when necessary for investigating issues, improving the product, or providing support. We never share identifiable customer data with third parties for marketing or advertising purposes.

3. Biometric Data (Facial Recognition)

Facial recognition is an optional Enterprise feature. If you choose to enable it, you must obtain explicit consent from each individual and ensure that a non-biometric alternative (such as QR code or manual check-in) remains available without any disadvantage.

Biometric templates are stored encrypted and are never sent to any AI system. They are deleted within 48 hours if consent is withdrawn.

4. Plans, Pricing, and Billing

We offer a 14-day free trial with full access to all features. After the trial, you can choose from our paid plans. Pricing details are available at pragflow.com/pricing.

Payments are processed securely through Stripe in Euros. Annual subscriptions receive approximately 17% discount. We may change pricing with at least 30 days' notice before your next renewal.

5. Acceptable Use

You agree not to:

- Upload malware or attempt to access other customers' data
- Share login credentials or bypass plan limitations
- Submit false or misleading compliance data
- Reverse engineer the platform or build a competing product
- Use the platform for any unlawful purpose

We may suspend or terminate your account if you violate these rules.

6. Intellectual Property

PragFlow owns the platform, including all code, design, workflows, AI models, and documentation. You receive a limited, non-exclusive, revocable license to use the platform during your subscription for your internal business operations only.

If you provide feedback or suggestions, we may use them freely without any obligation to you.

7. Privacy and Security

We take data protection seriously. Please review our Privacy Policy and Data Processing Agreement for full details on how we handle personal data.

All customer data is hosted on secure servers in the European Union (Germany and Finland) with strong encryption and tenant isolation.

8. Limitation of Liability

To the maximum extent permitted by law, our total liability to you for any claim arising out of or related to these Terms will not exceed the total fees you paid or were required to pay us in the 12 months preceding the claim.

For claims involving data breaches, intellectual property infringement, or breach of confidentiality, our liability is capped at three times the fees paid in the same period.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or business opportunities.

9. Term and Termination

You may cancel your subscription at any time. Prepaid fees are generally non-refundable.

After termination, we will provide you with a reasonable period to export your data. After that period, we will delete your Customer Data from our active systems.

10. Governing Law

These Terms are governed by the laws of Estonia. Any disputes will be resolved in the courts of Harju County, Estonia.

These Terms, together with our Privacy Policy and Data Processing Agreement, constitute the entire agreement between you and PragFlow.
